HaloScore Terms of Service
Version 1.0, effective October 22, 2026
Last updated: October 22, 2026 · Version 1.0
1. Agreement
1.1 These Terms of Service ("Terms") are a binding agreement between HaloScore LLC, a Washington limited liability company ("HaloScore," "we," "us"), and the business that places an order ("Customer," "you"). By checking the acceptance box and completing checkout, you agree to these Terms (as updated from time to time under Section 9.1), the order details shown at checkout (the "Order"), and the HaloScore Privacy Policy (the "Privacy Policy").
1.2 Business use only. HaloScore is sold to businesses, not consumers. The person completing checkout confirms they are at least 18 and authorized to bind the Customer.
1.3 If an Order conflicts with these Terms, the Order controls only for price, Plan and term. A separately signed agreement between you and HaloScore overrides these Terms with respect to any conflict between the terms of such agreement and these Terms.
2. Definitions
- "Property" means the single property (one address) properly identified in your Order.
- "Market" means the geographic area you specify for the Property at intake.
- "Competitor" means a property or business in the Market with the attributes similar to the Property, such as property type, size, location, unit offerings, or amenities.
- "Intake Information" means the Property's name, Market, the Competitors you identify, differentiators and any other information you provide.
- "AI Platforms" means third-party AI systems we evaluate, such as ChatGPT, Gemini and Google's AI search features. The AI platforms we evaluate may change over time in our discretion.
- "Assessment" means a point-in-time evaluation of the Property producing an AI visibility score (the "HaloScore Score"), reported with a Competitor ranking and a readiness review.
- "Initial Assessment" means the first Assessment of the Property delivered under a Plan.
- "Re-Assessment" means each Assessment of the Property delivered after the Initial Assessment during a Subscription Term.
- "Deliverables" means the Assessments, Roadmaps, Monthly Reports and other reports, scores, rankings and recommendations we provide to you.
- "Plan" means the Assessment Only plan described in Section 3.1 or an Assessment + Monitoring plan described in Section 3.2, as selected in your Order. A "Monitoring Plan" is a 6-month or 12-month Assessment + Monitoring Plan.
- "Monitoring Service" means the Monthly Reports and Re-Assessments described in Section 3.2.
- "Monitoring Fee" means the fee for Monitoring Services, as shown in your Order or, for a Renewal Term, as stated in the Renewal Notice.
- "Service" means the assessment, monitoring and consultation services HaloScore provides under a Plan.
- "Subscription Term" means the 6- or 12-month monitoring period in your Order, and any Renewal Term.
- "Renewal Term" means each successive 6-month or 12-month period for which Monitoring Service renews under Section 6.5 or Section 6.8.
- "Renewal Date" means the first calendar day of a Renewal Term, which is the calendar day immediately after the last day of the then-current Subscription Term.
- "Affiliate" means an entity that controls, is controlled by or is under common control with HaloScore, where "control" means direct or indirect ownership of more than 50% of the voting interests of an entity.
3. Service plans
3.1 Assessment Only.
The Assessment Only Plan includes the following Services:
- The Initial Assessment of the Property, delivered as a written report within 14 business days after the Intake Completion Date. It does not include the Roadmap, Monthly Reports or Re-Assessments. If Intake Information is incomplete or inaccurate, HaloScore may extend the delivery date by the time needed to obtain complete and accurate Intake Information.
- A 30-minute consultation (a "Consultation") with a HaloScore representative, conducted using a videoconferencing platform such as Zoom, Microsoft Teams, Google Meet or equivalent service. This Consultation is available once and must be scheduled by you and occur within 30 calendar days after delivery of the Initial Assessment using a link provided in email communication. If the Consultation does not occur within the 30 day period following delivery of the Initial Assessment, it is forfeited.
3.2 Assessment + Monitoring (6 or 12 months). The Assessment + Monitoring Plan includes:
- The Initial Assessment, delivered as a written report within 14 business days after the Intake Completion Date.
- An AI optimization roadmap with prioritized recommendations (the "Roadmap"), delivered with the Initial Assessment.
- A 30-minute Consultation with a HaloScore representative, conducted using a videoconferencing platform such as Zoom, Microsoft Teams, Google Meet or equivalent service. This Consultation is available once during the Subscription Term and must be scheduled by you and occur within 30 calendar days after delivery of the Initial Assessment using a link provided in email communication. If the Consultation does not occur within the 30 day period following delivery of the Initial Assessment, it is forfeited.
- Monthly progress reports (each, a "Monthly Report") summarizing changes in the Property's AI visibility since the prior report and items to monitor. Monthly Reports are short-form updates, not full Assessments.
- A Re-Assessment every three months after the delivery of the Initial Assessment, with an updated HaloScore Score, Competitor ranking, trend analysis and new recommendations. In addition to the Initial Assessment, a 6-month Monitoring Plan includes 2 Re-Assessments (at 3 and 6 months) and a 12-month Monitoring Plan includes 4 Re-Assessments (at 3, 6, 9 and 12 months).
3.3 Delivery. All Deliverables are emailed as links to PDF files to the email address provided at checkout, or another address you designate in writing. Delivery dates are good-faith targets, not guarantees, and are dependent on, among other things, the completion and accuracy of Intake Information received. If HaloScore later implements an online customer portal, we may make Deliverables exclusively available there (or we may elect to provide them by email and through the portal at our discretion).
3.4 One Property, one Market. Each Plan covers one Property in one Market. Adding properties, changing the Property, or materially expanding the Market requires a new Order or the purchase of Add-Ons as detailed in Section 3.7.
- You may add to or expand your Market at an additional cost. Pricing depends on the size of the desired total Market. Contact support@haloscore.ai to receive pricing and to add this to your order no later than 14 business days prior to the next scheduled Re-Assessment.
3.5 Competitor List and Limitation. Each Plan includes no more than 6 tracked Competitors. You may update your list of tracked Competitors once in each 3-month period of the Subscription Term at no charge by contacting support@haloscore.ai with an updated list no later than 14 business days prior to the next scheduled Re-Assessment. Adding more than 6 Competitors may be allowed at an additional cost to be negotiated by the parties.
3.6 Changes to the Service. We may, at our sole discretion, improve or change our methodology, scoring model, report format and the AI Platforms we evaluate. Following any such change, we will use reasonable efforts to update past scores to reflect the new methodology in order to provide a close comparison of performance. We will note material methodology changes in your reports. We will not materially reduce the core features of a Plan during a paid Subscription Term.
3.7 Service Add-Ons. HaloScore, at its sole discretion, may offer additional services (each, an "Add-On") beyond the Plans described in Sections 3.1 and 3.2, including increasing the number of tracked Competitors and expanding the Market. Pricing and terms for such Add-On services will be determined by HaloScore at such time.
4. Your responsibilities
4.1 Complete intake. Work begins, and delivery timelines start, only on the Intake Completion Date. The "Intake Completion Date" is the date on which (a) your payment has been successfully processed and (b) you have submitted all required Intake Information. You are responsible for the accuracy and completeness of your Intake Information. Deliverables are based on what you provide; incomplete or inaccurate information may reduce their accuracy.
4.2 Authority over the Property. You represent and warrant to HaloScore that you own, manage or market the Property, and are authorized by the Property's owner to purchase the Service for it.
4.3 Lawful information. You will not submit information that is unlawful, infringes any third party's rights, or that you do not have the right to share. Customer shall not submit resident personal data, payment data or other sensitive personal information as the Service does not need it. HaloScore shall not be required to investigate the correctness or lawfulness of any Customer-submitted information.
4.4 Implementation and Legal Compliance. You decide which recommendations to adopt, and you are responsible for carrying them out. You are solely responsible for ensuring that your marketing, advertising and other activities comply with all applicable laws, including the federal Fair Housing Act, state and local fair housing laws, and applicable advertising, accessibility and privacy laws. The Service does not include, and shall not be construed to include, any representation or advice with respect to legal compliance.
4.5 Acceptable use. You will not resell or sublicense the Service, use it to build a competing product, attempt to reverse-engineer our scoring methodology, or use Deliverables to make false or misleading claims about Competitors.
4.6 Your email address. Deliverables and notices are sent to the email address you provide. You are responsible for keeping that email address current, for who can access it, and for telling us promptly if it changes. If we later offer online accounts, you will also be responsible for keeping login credentials secure.
5. Scope of Service
5.1 Measurement and guidance only. HaloScore measures how AI Platforms present the Property and recommends improvements. Unless you enter into a separate services agreement with HaloScore that provides for such services, we do not edit your website, write or post content, manage listings, reviews, ads or social media, or perform SEO or technical development work.
5.2 No guaranteed outcomes. We do not guarantee any particular score, ranking, mention, citation or placement on any AI Platform, or any increase in traffic, leads, tours, leases, occupancy or revenue. Recommendations are ranked by their likely impact based on our methodology; actual results depend on many factors outside our control, including your implementation, your Competitors and the AI Platforms themselves.
5.3 Third party AI Platforms. AI Platforms are owned and operated by third parties, not by HaloScore. They change their models, data sources, available analytics, and behavior frequently and without notice, and they can give different answers to the same question at different times or for different users. Accordingly:
- Scores are statistical estimates drawn from a sample of AI responses at the time of testing, not a complete or permanent record of how every user sees the Property.
- Scores can rise or fall for reasons unrelated to your actions.
- Scores near 100 are not expected in practice; the most useful measures are your score relative to Competitors and its trend over time.
- If an AI Platform restricts access or available analytics, changes its terms or is discontinued, we may substitute a comparable platform or adjust the methodology.
5.4 AI-generated content may be inaccurate. Deliverables report and analyze what AI Platforms say, which may include errors about the Property or Competitors. Parts of our analysis may also be produced with the help of AI tools. Deliverables are provided for informational purposes and should be reviewed with your own judgment and confirmation of facts before acting.
5.5 Not legal advice. Deliverables, Consultations and other communications from HaloScore are marketing guidance only. They are not legal advice (including advice on compliance with the Fair Housing Act or other fair housing laws) or financial or investment advice, and are not an appraisal or valuation of the Property. Deliverables do not recommend or evaluate rents or other prices for the Property; if a Deliverable notes inconsistent pricing information about the Property across sources, it does so only to improve how AI Platforms present the Property. You are solely responsible for all decisions about the Property, including its marketing, leasing, pricing and operation, and you are advised to consult your own attorney or other qualified advisor prior to acting on any Deliverable or Consultation.
5.6 No affiliation. HaloScore is not affiliated with or endorsed by OpenAI, Google or any other AI Platform provider. Their names are used only to identify the platforms we evaluate.
6. Fees, term, renewal and cancellation
6.1 Fees. You agree to pay the fees shown at checkout. Fees are in U.S. dollars and exclude taxes; you are responsible for applicable sales, use or similar taxes, other than taxes on our income.
6.2 Payment. All fees for your Plan, including the full initial Subscription Term, are charged as one package payment at checkout (and, for each Renewal Term, on its Renewal Date). You authorize HaloScore and our payment processor Stripe to charge your payment method (including by credit card or ACH transfer) for that payment and, if you elect Auto-Renewal under Section 6.4, for the Monitoring Fee for each Renewal Term on its Renewal Date until you cancel Auto-Renewal under Section 6.6. You will keep your payment method current. Work does not begin until payment succeeds. If HaloScore offers invoicing and you request an invoice at checkout instead of paying online, HaloScore will issue one invoice per Property for the full amount of your Plan, due on receipt and payable by credit card, ACH transfer or bank transfer as stated on the invoice. The Intake Completion Date does not occur, and work does not begin, until that invoice is paid in full.
6.3 Subscription Term. The initial Subscription Term of a Monitoring Plan starts on the delivery date of the Initial Assessment and runs for the 6 or 12 months selected. Each Renewal Term starts on its Renewal Date and runs for 6 or 12 months, as applicable. The full initial Subscription Term is paid at checkout, each Renewal Term is paid in full on its Renewal Date, and each is a fixed commitment, not month-to-month.
6.4 Renewal election. When you purchase a Monitoring Plan, you may turn on automatic renewal at checkout. Automatic renewal is off unless you turn it on. If you turn it on (an "Auto-Renewal" election), your Monitoring Service will renew for successive Renewal Terms of the same length as your initial Subscription Term (6 or 12 months). We will confirm your selection in your Order confirmation email. You may turn Auto-Renewal on or off, or switch between 6-month and 12-month Renewal Terms, at any time before a Renewal Date by emailing support@haloscore.ai, and the change will apply beginning with the next Renewal Term.
6.5 Automatic renewal. If you elect Auto-Renewal, then, unless you cancel under Section 6.6 or we decline renewal under this Section 6.5: (a) at the end of the then-current Subscription Term, your Monitoring Service will automatically renew for a Renewal Term of the length you selected, and will continue to renew for successive Renewal Terms of that length; (b) each Renewal Term includes Monitoring Service only, consisting of Monthly Reports and a Re-Assessment every 3 months after the Renewal Date (2 Re-Assessments for a 6-month Renewal Term, and 4 Re-Assessments for a 12-month Renewal Term), and does not include a new Initial Assessment, Roadmap or Consultation; and (c) the fee for each Renewal Term is HaloScore's then-current Monitoring Fee for a Renewal Term of that length, as stated in the Renewal Notice, and we will charge that fee in full to your payment method on file on the Renewal Date. If the charge does not succeed, we may suspend Monitoring Service until payment succeeds, and if payment has not succeeded within 10 calendar days after the Renewal Date, the Renewal Term will not take effect and the Service will end. If you paid by invoice and elect Auto-Renewal, then instead of charging a payment method on file, we will email you an invoice for the Monitoring Fee for each Renewal Term before its Renewal Date, due on the Renewal Date; if that invoice is not paid within 10 calendar days after the Renewal Date, the Renewal Term will not take effect and the Service will end. We may decline to renew any Subscription Term by notice to you at least 10 calendar days before the Renewal Date.
6.6 Cancelling automatic renewal. You may cancel Auto-Renewal at any time before the Renewal Date by (a) using the cancellation link in your Renewal Notice or (b) emailing support@haloscore.ai a request that states that you do not want to renew and identifies the Property. A cancellation request is timely if we receive it before 11:59 PM (Pacific Time) on the last day of the then-current Subscription Term. If you cancel on time, the Subscription Term will not renew, you will not be charged for the Renewal Term, and your Service and Deliverables will continue through the end of your paid Subscription Term, at which point the Service will end. We will confirm your cancellation by email. Cancelling Auto-Renewal does not cancel the then-current Subscription Term or entitle you to a refund except as stated in Section 6.9.
6.7 Renewal notice. Before your Subscription Term ends, we will email you a renewal notice (a "Renewal Notice") stating: (a) whether you have elected Auto-Renewal; (b) the length of the Renewal Term; (c) the renewal rate, which is HaloScore's then-current Monitoring Fee, and, if you have elected Auto-Renewal, the amount we will charge on the Renewal Date; (d) the date your current Subscription Term ends and the Renewal Date; and (e) if you have elected Auto-Renewal, how to cancel under Section 6.6, or, if you have not, how to opt in to Service renewal under Section 6.8. Renewal rates may differ from your original price; any change will be stated in the Renewal Notice. If you have not elected Auto-Renewal, unless you renew before your current Subscription Term ends, your plan will stop at 11:59 PM (Pacific Time) on the final day of the current Subscription Term.
6.8 Opting in to renewal. If you have not elected Auto-Renewal and want to renew, use the one-click accept link in your Renewal Notice to be taken to an online form to complete the renewal process. You may also email support@haloscore.ai any time before your Subscription Term ends with a request to renew Service. If you choose not to renew Service, your Service and Deliverables continue through the end of your paid Subscription Term, at which point, it will then stop, with no further charges.
6.9 Refunds.
- Assessment Only: You may cancel for a full refund before you submit Intake Information. After the submission of Intake Information, Assessment fees are non-refundable.
- Monitoring Plans: For 6 month Monitoring Plans, the monitoring fees are non-refundable, including for unused months, except as required by law or by Section 6.11. For 12 month Monitoring Plans, you will receive a refund of 25% of monitoring fees charged if a written cancellation request is received no later than the 180th calendar day of a 12 month monitoring service plan. Thereafter, the monitoring fees are non-refundable for the balance of the Subscription Term. These refund terms apply to each Renewal Term based on its length, and for a 12-month Renewal Term the 180th calendar day is measured from its Renewal Date. All cancellation requests under this Section 6.9 must be submitted to support@haloscore.ai with the message "SERVICE CANCELLATION REQUEST: [PROPERTY NAME] [PROPERTY ADDRESS, CITY, STATE, ZIP CODE]". Cancellation of Auto-Renewal is governed by Section 6.6.
6.10 Chargebacks. Any dispute regarding a charge must be brought by notifying us no later than ten (10) days after the charge has been made. Disputing or otherwise failing to pay a valid charge is a breach of these Terms, and we may suspend the Service while the dispute is open.
6.11 Our right to cancel. We may decline an Order or terminate a Plan for any reason with 30 calendar days' notice and will refund a pro-rated amount for any undelivered portion of a prepaid Subscription Term. We may suspend or terminate the Service immediately, without refund, if you breach these Terms, in which event, you shall not be entitled to any refund of any fees.
7. Intellectual property and data
7.1 Our IP. HaloScore owns the Service and all intellectual property developed by HaloScore to provide the Service, including our scoring methodology, prompts, models, software, report templates, benchmarks and aggregated data, and all improvements to them. No rights are granted except those stated in these Terms.
7.2 Your license to Deliverables. Once paid for, you may use, copy and share Deliverables internally and with your property owners, investors, agencies and vendors to improve the Property's marketing. You may not resell Deliverables, publish them in full, or remove HaloScore attribution. You may quote your own score publicly if you identify it as a HaloScore Score and the date it was measured. You may not publicly disclose, publish or cite any Competitor's score, ranking or other Competitor findings from the Deliverables, including in advertising or marketing materials.
7.3 Your content. You keep ownership of your Intake Information. You give us a non-exclusive license to use it to provide and improve the Service.
7.4 Aggregated and de-identified data. We may use data generated by the Service, in aggregated and de-identified form that does not identify you, to improve our methodology, build market benchmarks, and publish industry research. We will not identify you as the source of such data without your permission.
7.5 Public information about Competitors. Assessments analyze publicly available information about the Property and the Competitors you or we identify. Other HaloScore customers may also receive Assessments that include the Property as a competitor.
7.6 Feedback. If you send us suggestions or feedback, we may use them without obligation to you. You grant us a perpetual, irrevocable, royalty-free license to use any feedback, suggestions, or recommendations you provide regarding the Service, without restriction or attribution.
7.7 Confidentiality. Each party will protect the other's non-public business information ("Confidential Information") with reasonable care and use it only for purposes of these Terms. This does not cover information that is public, already known, independently developed (without reference to the other party's Confidential Information) or lawfully received from someone else who does not have a duty of confidentiality.
7.8 Privacy. HaloScore handles personal information, such as the contact details of your team members, as described in the Privacy Policy.
7.9 Publicity. We may list your company name and logo as a customer on our website and marketing materials. You may opt out at any time with proper written notice to us.
8. Warranties, disclaimers and liability
8.1 Our commitment. We will perform the Service in a professional manner consistent with generally accepted industry practices (the "Commitment"). If a Deliverable materially fails to meet this standard, tell us within 30 calendar days of delivery and we will re-perform it. This is your sole and exclusive remedy for a breach of this Commitment.
8.2 Disclaimer. EXCEPT AS STATED IN SECTION 8.1, THE SERVICE AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE." HALOSCORE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY AI PLATFORM WILL MENTION, RANK OR RECOMMEND THE PROPERTY, OR THAT ANY RESULT WILL BE ACHIEVED.
8.3 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR LOST PROFITS, LOST REVENUE, LOST LEASES, LOSS OF GOODWILL, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) NOTWITHSTANDING THE FOREGOING, HALOSCORE'S TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM. These limits do not apply to your payment obligations, your obligations under Section 8.4, your breach of Sections 4.5, 7.2, or 7.7, or your negligence or misconduct.
8.4 Indemnification. You will defend, indemnify and hold harmless HaloScore, and its subsidiaries, Affiliates, officers, agents, employees, representatives, contractors, and assigns from and against any costs, damages, losses, expenses (including reasonable attorneys' fees), and liabilities arising out of any third-party claim ("Claim") arising from or related to your Intake Information (or any other information you may provide), your use of the Service or implementation of recommendations, your marketing content, or your violation of applicable law or these Terms.
9. General
9.1 Changes to these Terms. We may update these Terms at any time by posting a new version on our website and/or emailing notice to the email address provided at checkout. Updated Terms take effect on the date stated in the notice. If you continue to use the Service or receive Deliverables after that date, you are deemed to have accepted the updated Terms. Updated Terms will not change the fees for a Subscription Term for which you have already paid.
9.2 Survival. Sections 4.5, 5, 6 (for amounts owed), 7, 8 and 9 survive the end of your Subscription Term.
9.3 Governing law and disputes. These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. The parties shall first attempt in good faith to resolve any dispute through informal negotiation for 30 calendar days. If the dispute is not resolved within that period, the parties shall attempt in good faith to resolve it by non-binding mediation in Seattle, Washington, with a mediator the parties agree on or, if they cannot agree within 15 calendar days after either party requests mediation, a mediator appointed by Judicial Dispute Resolution ("JDR"). The parties shall share the mediator's fees equally. Any dispute not resolved within 60 calendar days after either party requests mediation will be decided exclusively by binding arbitration under JDR's Commercial Arbitration Rules in Seattle, Washington, before a single arbitrator applying Washington law. The arbitration shall be confidential, and judgment on the award may be entered in any court with jurisdiction. Either party may seek injunctive relief to protect its intellectual property or Confidential Information.
9.4 Assignment. You may not assign these Terms without our prior written consent. We may assign them to an Affiliate or a successor to our business without your consent.
9.5 Non-Exclusivity. You acknowledge that the Service is not exclusive to you and that HaloScore may provide the Service to other entities, including those in competition with you.
9.6 Force Majeure. Neither party is liable for any failure or delay in performing its obligations (other than payment obligations or indemnification obligations) to the extent arising from causes beyond its reasonable control, including fire, flood, earthquake, elements of nature, acts of God, epidemics or pandemics, acts of war, terrorism, riots, civil disorders, governmental actions, failures of the internet, utilities, or cloud or hosting providers, or changes to, outages of, or access restrictions on AI Platforms ("Force Majeure Event"). The parties will meet to discuss resolution.
9.7 Notices. We will send notices to the email address provided at checkout. Send notices to HaloScore at support@haloscore.ai.
9.8 Electronic acceptance. Checking the acceptance box is your electronic signature and consent to be bound by these Terms, and has the same effect as a handwritten signature.
9.9 Entire agreement. These Terms, your Order and the Privacy Policy are the entire agreement about the service. If any part is unenforceable, the remainder remains in effect. A party's failure to enforce any provision of these Terms is not a waiver of that provision. A waiver of any term or breach in one instance does not waive such term or any subsequent breach. The parties are independent contractors and nothing contained herein shall be construed as creating any joint venture, partnership, employer-employee, or other relationship between the parties.
